Terms of Service

1. Service Description

Weedhurry ("the Service") is a cloud-based cannabis dispensary management platform that provides point-of-sale (POS), e-commerce, inventory management, compliance reporting, analytics, and delivery management tools. The Service is provided by Weedhurry ("the Company," "we," "us," or "our") and is intended for use by licensed cannabis businesses operating in jurisdictions where cannabis sales are legal.

2. Eligibility

To use the Service, you must:

  • Be at least 21 years of age.
  • Hold a valid cannabis retail license issued by the appropriate state or local authority.
  • Operate in a jurisdiction where cannabis sales are permitted under applicable law.
  • Have the authority to bind the business entity that will use the Service.

By creating an account, you represent and warrant that you meet all eligibility requirements. We reserve the right to suspend or terminate accounts that do not meet these requirements.

3. Account Registration

When you register for the Service, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and update your account information to keep it accurate and current.
  • Keep your login credentials confidential and not share them with unauthorized parties.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

Each employee who accesses the system will have individual credentials. You are responsible for managing employee access and ensuring that former employees are promptly removed from the system.

4. Compliance Responsibilities

While the Service provides tools to assist with regulatory compliance (including METRC integration and automated reporting), you are solely responsible for:

  • Ensuring that your business operations comply with all applicable federal, state, and local laws and regulations.
  • Maintaining valid licenses and permits required for cannabis operations.
  • Verifying the accuracy of compliance reports before submission to regulatory bodies.
  • Maintaining your METRC API credentials and ensuring proper connectivity.
  • Training staff on compliance requirements and proper use of the platform's compliance features.

The Service is a tool to assist with compliance but does not constitute legal advice. We recommend consulting with a compliance attorney for specific regulatory questions.

5. Payments and Billing

Subscription fees are billed monthly or annually based on the plan you select. By subscribing to the Service, you agree to the following:

  • Subscription fees are due at the beginning of each billing period and are non-refundable except as required by law.
  • We may update pricing with 30 days written notice. Existing subscriptions are honored at the current rate until the end of the billing period.
  • Failed payments will result in a grace period of 7 days, after which the account may be suspended.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • There are no early termination fees. We do not require long-term contracts.

6. Intellectual Property

The Service, including all software, designs, trademarks, content, and documentation, is the intellectual property of Weedhurry and is protected by copyright, trademark, and other intellectual property laws.

  • We grant you a limited, non-exclusive, non-transferable license to use the Service for your business operations during the term of your subscription.
  • You retain ownership of all data you input into the Service. We do not claim ownership of your business data.
  • You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
  • You may not reverse engineer or attempt to extract the source code of the Service.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEEDHURRY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of revenue, profits, or business.
  • Loss of data or data corruption.
  • Compliance penalties or regulatory fines.
  • Business interruption or downtime.

Our total liability for any claims arising from the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

8. Termination

Either party may terminate this agreement at any time:

  • You may cancel your subscription through your account settings or by contacting support.
  • We may suspend or terminate your account for violation of these terms, non-payment, or if required by law.
  • Upon termination, you may request an export of your data within 30 days. After 30 days, data may be permanently deleted.
  • Sections regarding intellectual property, limitation of liability, and dispute resolution survive termination.

9. Governing Law

These terms are governed by the laws of the State of California without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Los Angeles County, California. Both parties consent to the exclusive jurisdiction of these courts.
